	To be an authorized affiliate of Helmsmanship(GO LEAD LTD), you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the Helmsmanship service as an affiliate. By signing up for the Helmsmanship Affiliate Programme, you indicate your acceptance of this agreement and its terms and conditions. Terms & Conditions This Agreement applies to the Helmsmanship Affiliate Programme provided by Go Lead Ltd. DEFINITIONS - 'we' and 'us' means Go Lead Ltd ('Go Lead') who will provide the goods to you. - 'you' and 'Affiliate' and 'your' means you, the applicant; - 'goods' means the provision of online courses and other learning materials via the www.helmsmanship.co.uk website, and any ancillary support such as coaching, mentoring, seminar, etc included in the Programme. NATURE OF THIS AGREEMENT We agree that this agreement does not form any partnership, and that we and you are independent parties. By applying to become a Go Lead Affiliate, you acknowledge you have read and agree to this agreement. Further, you agree that you have evaluated the goods and are not relying on any representations, guarantees, or statements other than those included in this agreement. AGREEMENT PERIOD This agreement begins when we accept you as an Affiliate and ends when terminated by either party. Either party may terminate at any time, with or without cause, by giving written notice of termination. COMMISSION FEES Fees are paid the published rate when goods are purchased successfully via the www.helmsmanship.co.uk via a link from your site(s). If a purchaser's credit/debit card payment is declined or a cheque is returned, your fees from the returned course will be adjusted accordingly in your next Affiliate statement. If no fee payment is due at that time, we will issue an invoice to you for reimbursement of the fee. Fees are inclusive of United Kingdom VAT at the prevailing standard rate. If you are located outside the UK or another Member State of the EC, VAT will be deducted from the fee. AFFILIATE WEBSITES AND SPAM POLICIES Go Lead reserves the right not to accept Affiliates whose websites contain or promote: - Sexually explicit or X-rated content - Violence and terrorism - Racial, sexual, religious, ethnic, age or other discrimination - Illegal or dubious activities - Violation of intellectual property or other rights Go Lead has a policy to not engage in spamming, ie sending mass unsolicited emails, and expects all Affiliates to adhere to this policy. Violation will result in the immediate termination of this agreement and cessation of fee payments. LIABILITY We shall not be liable to any person for any damage or loss that may arise from the use of any goods sold through this Programme. All the information and materials contained in this website (including, without limitation, text, graphics and links) are provided on an "as is" basis with no warranty and in particular, we do not represent or warrant that the information accessible via this website is accurate, complete or current or that the use of this website will be uninterrupted or error-free. Notwithstanding anything else in this agreement, in relation to any one event or series of events relating to the purchase of any goods from our website, we will not be liable for: (i) claims relating to the availability of our online store, our e-commerce engine, other Go Lead websites, points of purchase, or the success or level of sales resulting therefrom; (ii) any indirect, incidental or consequential damages, loss of earnings, anticipated savngs, goodwill, revenue or profits. We shall not be liable in the event that we cannot provide the goods to you due to an event beyond our reasonable control, which includes (but is not limited to) events such as, fire, flood, storm, strikes or other industrial action, failure of telecommunications services, war, riot, or the actions of any government or public body. The above exclusions of liability shall not apply to any damages arising from personal injury or death where they result from our negligence or the negligence of our servants and agents in the course of their duty. Except where the above applies, our maximum aggregate liability to you for any claim that you may have against us shall be limited to the amount of the fee which has been paid or is payable by you or on your behalf. GENERAL Notices served under this agreement shall be in writing and will be deemed given when: (1) personally delivered; or (2) when sent by confirmed fax; or (3) three days after being sent by registered mail to the address set out in our despatch note, or to any other later address in the United Kingdom notified for that purpose. Any failure by us to enforce any of this agreement shall not affect our right to enforce the rest of this agreement. This agreement is subject to change at any time without prior notice to you. This agreement shall be governed by and construed in accordance with English Law. The agreement between us is not intended to be for the benefit of any third party, and shall not be exercisable by any other person under the Contracts (Rights of Third Parties) Act 1999 or otherwise. The continued use of the Programme following any changes to the agreement will mean that you accept such changes.
